Schedule: Monday–Friday, 8 AM–5 PM or 9 AM–6 PM PST

We are partnering with a nationally recognized managed care organization dedicated to delivering high-quality healthcare services across Medicaid, Medicare, and Marketplace programs. With a mission to serve underserved communities and complex populations, this organization plays a critical role in improving access to care across multiple states.

Position Overview
We are seeking an experienced Paralegal III with a strong background in corporate governance and regulatory filings, particularly in a healthcare or managed care setting. This is a non-litigation focused role best suited for a detail-oriented legal professional who thrives in a high-volume, fast-paced environment and is looking for a long-term opportunity with room for growth.

Key Responsibilities

  • Prepare and file regulatory documents with state and federal agencies

  • Respond to state audits and examinations in coordination with legal staff

  • Draft and maintain corporate documentation, including:

    • Articles of incorporation, bylaws, and operating agreements

    • Board/shareholder consents, resolutions, and meeting minutes

    • Foreign qualifications and fictitious business name filings

    • Dissolutions, conversions, intercompany agreements, and license renewals

  • Support holding company filings and research statutes/regulations affecting HMOs, LLCs, and holding companies across jurisdictions

  • Maintain and update tracking systems for subsidiaries, officers/directors, licenses, and agreements

  • Support internal teams including health plans, M&A, new business development, and marketing

  • Assist with managing the organization’s intellectual property (e.g., trademarks and logos)

  • Coordinate remote notarizations for executives and board members

  • Maintain accurate and organized electronic records and documentation

  • Retrieve archived legal department records and provide general legal support as needed

Required Skills & Qualifications

  • 5–7 years of experience as a paralegal, with at least 3 years in managed healthcare

  • Knowledge of Medicare, Medicaid, and Marketplace compliance (multistate experience preferred)

  • Strong grasp of corporate governance and regulatory filings; familiarity with NAIC guidelines

  • Proficient in Microsoft Office (Word, Excel, Outlook, Teams), document management systems (iManage preferred), Westlaw, Edge/Chrome, and SharePoint

  • Excellent organizational skills and high attention to detail

  • Strong writing, research, and communication abilities

  • Proven track record of working well under pressure and managing multiple projects efficiently

  • Professional demeanor with the ability to liaise effectively with regulators and internal legal teams

Preferred Experience

  • Experience coordinating filings through state insurance departments and portals

  • Prior involvement supporting legal teams in M&A or RFP/proposal development

  • Familiarity with IP management, including trademark coordination
